The Publishing House "PANORAMA" (hereinafter referred to as the Publishing House) is the publisher of the following mass media (hereinafter referred to as the Journals):
The Publishing House hereby brings to the attention of authors wishing to publish works in the Journals, the editorial policy of the Publishing House, regarding the legal registration of exclusive rights to works conveyed to the Publishing House (hereinafter referred to as the Policy).
This Policy is a request for offers according to the tenor of Article 437 of the Civil Code of the Russian Federation (hereinafter referred to as the Russian Civil Code).
DEFINITIONS
Author is a citizen who created the Work, as well as another copyright holder who owns the exclusive rights to use the work in accordance with Article 1229 of the Russian Civil Code in any form and in any manner not contrary to the law (exclusive right to the work), including the methods specified in item 2 of Article 1270 of the Russian Civil Code.
Work(s) are results of creative activity of the Author, subject matters of copyright according to the legislation of the Russian Federation, including but not limited to literary works, namely: articles, reviews, comments, etc., as well as images, including, original diagrams, figures, pictures, photos and others which the Author offers for publication in the Journals.
Agreement on the Alienation of the Exclusive Rights to the Work (Agreement) is an agreement concluded in full compliance with the conditions and procedure set forth in this Policy, according to which the Author conveys his/her full exclusive right to the Work to the Publishing House.
Offer is the Author's proposition executed in full compliance with the terms of this Policy in the form posted at the following URL: https://panor.ru/en/redaktsionnaya-politika, expressing his/her intention to consider him- or herself as concluded an Agreement with the Publishing House, in case of acceptance by the latter.
1.1. The Works shall be published by the Publishing House solely at its discretion and free of charge. No remuneration shall be paid to the Authors for the transfer of exclusive rights to the Work by the Authors to the Publishing House. The Publishing House shall not charge the Authors for the preparation, review and publication of the Works.
1.2. The Publishing House has the right to refuse to publish Works that:
does not meet the general article submission guidelines approved by the Publishing House and located at the following URL: https://panor.ru/en/pravila-publikatsii/;
are irrelevant to the respective Journal;
violate the rights and legitimate interests of third parties;
1.3. In case of finding rectifiable defects in the Work, the Author undertakes to rectify such defects at the request of the Publishing House within the period established by the latter. If the Author does not rectify the defects of the Work within the period and in accordance with the requirements established by the Publishing House, the Publishing House shall have the right to refuse to publish the Work with defects.
2.1. The Author guarantees that he created the Work(s) personally, without co-authorship, and is the holder of all exclusive property rights to use the Works at the time of transferring them to the Publishing House.
2.2. The Author guarantees that when creating the Works, he or she did not violate the copyright or other rights of third parties.
2.3. The Author confirms that the rights to the Works transferred by him or her under the Agreement had not been transferred by the Author to any third party in any part by the time of their transfer to the Publishing House (exclusive rights to the Work are not a subject of the pledge, no third parties are granted licenses to the Work, etc.)
2.4. The Author guarantees that the Works are not unethical, illegal, offensive to the honour and dignity of third parties.
2.5. If the Work uses images of people, including the dead ones, then the Author guarantees the Publishing House that he or she has received the consent of the models depicted in the Work (their legal representative: parent, guardian, trustee or heir) to conduct a photoshoot with their participation/posing for a portrait for the purpose of making public and further use of their images.
2.6. If the owner of the exclusive right to the Work is a person other than the Author (the heir, the purchaser of the exclusive right to the Work under the previously concluded relevant contract), the Author shall contact the Publishing House via the following e-mail editor@panor.ru before sending the Offer to discuss and agree on the procedure for concluding an agreement on the alienation of exclusive right to the Work.
2.7. In the event if the Work has two or more Authors, an agreement on transferring intellectual rights to the Publishing House for such Work may be concluded only if all and each of the Authors of such Work perform the actions as provided for in Section 3 of the Policy.
2.8. The norms of item 2 of Article 432, sub-item 2, 3 of Article 434, item 1 of Article 437, item 3 of Article 438, sub-item 2, 3 of Article 1234, Article 1285 of the Russian Civil Code are administered to the relations arising between the Publishing House and the Authors of the Works sent to the Publishing House in accordance with the procedure set forth in the Policy.
3.1. The Author who intends to publish the Work in one or several Journals should send a signed scanned copy of the Offer using the form posted at the following URL: https://panor.ru/oferta-redpol.docx, to the e-mail address of the respective Journal, in which the Author wants to publish his/her Work, in accordance with the conditions specified in Clauses 3.1.1 - 3.1.5, 3.2 of this Policy. The appropriate e-mail address of the Journal should be determined by the Author in accordance with the Editorial Policy (Clause 5.10). In case the Author wants to publish his/her Work in several Journals, the Author sends the Offer by e-mail to the address of each respective Journal.
3.1.1. Within 10 (ten) working days after acceptance of the Offer by the Publishing House according to the procedure set forth in Clause 3.4 of the Policy, the Author shall send the original of the signed Offer by registered mail to the Publishing House to the address: P.O.B. 1, Moscow, (125040).
3.1.2. All Offer pages are numbered with continuous numbering. The Author personally signs (with full name) each page of the Offer.
3.1.3. In the text of the Offer, the Author should specify all information established under the form of the Offer identifying the Author and the Work in respect of which the Agreement is concluded. If any fields cannot be filled in for objective reasons, the word "absent" should be put in the text of the Offer.
Full name, passport data, postal address, e-mail address, mobile phone number of the Author are mandatory.
3.1.4. In case of not meeting the requirements of the Offer form, the Publishing House shall reject the received Offer.
3.1.5. The Publishing House reserves the right to verify the accuracy of any information included by the Author in the text of the Offer.
3.2. The Offer duly executed and personally signed by the Author shall be sent to the Publishing House subject to the following conditions. A single file containing a scanned image of all pages of the Offer (colour image, resolution of at least 300 dots per inch, allowed file format: jpeg, tiff, pdf) is sent simultaneously with the file containing the text of the Work (allowed file format - docx), to the e-mail address of the respective Journal, in which the Author wants to publish his/her Work, in accordance with the conditions specified in Clauses 3.1.1 - 3.1.5, 3.2 of this Policy. The appropriate e-mail address of the Journal should be determined by the Author in accordance with the Editorial Policy (Clause 5.10). In case the Author wants to publish his/her Work in several Journals, the Author sends the Offer by e-mail to the address of each respective Journal. In addition, the e-mail address, from which the scanned image of the Offer and the Work will be sent, must be the same as the e-mail address given in the text of the Offer.
3.3. If the Publishing House does not receive the original Offer in accordance with Clause 3.1 of the Policy and/or if there is reasonable doubt that the Offer comes from the author of the Work, the Publishing House reserves the right to request additional documents and/or information from the Author.
3.4. The acceptance of the Offer is the inclusion of the Work in the publishing plan of the respective Journal.
Notice of acceptance of the Offer shall be sent by the editor-in-chief of the respective Journal or other official representative of the Publishing House to the Author's personal account on the website of the Publishing House or by e-mail to the Author's address specified in the Offer and shall contain the following information:
(a) about the acceptance of the Offer; and
(b) about the issue of the Journal in the publishing plan of which the Work is included.
3.5. The agreement on assignment of the exclusive right to the Work shall be deemed to have been executed between the Author and the Publishing House upon receiving the notification of acceptance of the Offer from the Editor-in-Chief of the respective Journal of the Publishing House, or other authorized representative of the Publishing House, in accordance with Clause 3.4 of the Policy to the Author's e-mail address given in the Offer.
The notice of acceptance of the Offer shall be deemed to have been received by the Author after 1 (one) calendar day from the moment the Publisher sends the notice of acceptance of the Offer to the Author's e-mail address specified in the Offer.
3.6. Until the Author receives a notice issued and sent by the Publishing House in accordance with Clause 3.5 of the Policy, no other correspondence or other communication between the Author, the Publishing House and/or third parties in respect of the Work shall be considered an acceptance of the Offer.
3.7. Works submitted to the Publishing House for publication, at the discretion of the Publishing House, may be submitted for review in accordance with the established review procedure approved by the Publishing House and posted at the following URL: https://panor.ru/en/redaktsionnaya-politika.
Therefore, by sending the Offer and the Work to the Publishing House, the Author hereby agrees that prior to the acceptance of the submitted Offer by the Publishing House, the Work (or part of it) may be passed by the Publishing House on to a third party or parties to review the Work without giving these parties any exclusive rights to the Work.
Submission of the Work for review in accordance with the established procedure shall not be considered as an acceptance of the Offer.
3.8. The Publishing House shall have the right to withdraw from the Agreement if after acceptance of the Offer by the Publishing House, the Publishing House has no production necessity to obtain rights to the Work, in particular, upon termination of publishing the Journal due to circumstances beyond control of the Publishing House or upon termination of publishing the Journal by the decision of the Publishing House. In such case, the Publishing House shall give notice of termination of the Agreement to the Author. The notice may be sent by mail or by e-mail using the addresses specified by the Author in the Offer.
4.1. Sending the Offer to the Publishing House in accordance with the terms of this Policy, the Author expresses his/her intention to grant the Publishing House the following rights to the Work for their use in the territory of the Russian Federation, CIS countries and foreign countries without restriction on the territory of use:
4.1.1. permission to publish the Work;
4.1.2. exclusive right to the Work in its entirety to use the Work in any manner specified in Article 1270 of the Russian Civil Code, including but not limited to:
repeated reproduction, that is, production of one or more copies of the Work or its part in any material form, including recording on physical and electronic storage media and publication in print and electronic mass media, on websites (right to copy);
distribution of the original or copies of the Works in any way: sale, lend-lease and other methods of assignment (distribution right), including publication in the Journal, as part of the website, archival and subject collections based on the materials of the Journal, etc.;
import of copies of Works for distribution, both as an independent object and included in another work or object (right to import);
public display of Works at exhibitions, fairs, cultural and art institutions, entertainment and recreation institutions, etc. (right of public display);
public performance of the Work;
broadcasting, that is, transmitting the Work for public information (including a show or performance) on radio or television (including relaying), with the exception of transmission across the wire (right to broadcast);
transmission across the wire, that is, transmitting the Work for public information on radio or television via cable, wire, optical fiber or similar means (including relaying);
translation and other processing of the Works, including but not limited to adaptation, retouching, editing, modification, picturization, arrangement, staging, translation into any language of the peoples of the world, as well as use, both in whole and in any part, including by integration in the contents of other works; to making changes, adding abbreviations, additions to the Works, providing illustrations, introductory notes, afterwords, comments, other explanations when using them;
bringing the Work to the general attention so that any person can access the Work from any place and at any time as they determine, including by posting on the Internet (the right to communication to the public). It is understood that third parties will be able to copy, send forward, "download" the Works using mobile devices, e-mail, other portable communication and storage devices, etc.;
presentation as a part of applications for Apple iPhone and/or Apple iPad mobile devices, as well as in similar applications for other devices on all platforms throughout the world without time restrictions;
use of the Works for the purposes of advertising, marketing, promotion of sales, distribution and selling its own products and products of third parties;
cession of part or all of the property rights received under this Agreement to use the Works, both to particular third parties and to an unlimited number of users, in any mass media and in picture making, in any and all formats and by any technology, both existing and to be invented in the future, including Internet and telephone technologies, in promotional materials, in materials used in promotion in the market. The cession of these rights to third parties shall be done by the Publishing House without additional consent and (or) notification of the Author and without payment of royalty remuneration to him or her.
4.2. The Publishing House, and third parties with its consent, hereby obtain permission from the Author not to specify the name/pseudonym of the Author when using the Works for the purposes of advertising, marketing, promotion, distribution and selling its own products and products of third parties.
4.3. All rights and permits specified in Clauses 4.1, 4.2 of this Policy shall be transferred to the Publishing House for the entire exclusivity period of the Work.
4.4. Personal non-property rights to the Work, which are not the subject of the Agreement, are not assigned and remain with the authors of the Works – individuals.
5.1. The Publishing House has the right to unilaterally change the terms of this Policy by publishing the updated version or introduced amendments on the website of the Publishing House at the following URL: https://panor.ru/en/redaktsionnaya-politika. The amendments become effective on the date of posting the amended text of the Policy on the website of the Publishing House at https://panor.ru/en/redaktsionnaya-politika. The Author undertakes to review the updated versions him- or herself and undertakes to follow the rules of updated versions.
5.2. If in the process of preparing the Work for publication:
the Publishing House revealed borrowings of other people's works without appropriate references (plagiarism), because of which the Work was removed from the publishing plan; or
the Author withdrew the Work from the Publishing House at the moment when the publishing plan was approved and the Publishing House began preparation of the Journal for publication;
The Author shall compensate the Publishing House for actual damage (verification, editing, proofreading of material not to be published due to plagiarism, internal examination to identify plagiarism, shifting of publishing deadlines, the need to select a replacement for the withdrawn material, etc.) in the amount of 10,000 (Ten thousand) rubles.
5.3. In case of violation of guarantees and representations established by Section 2 of the Policy, the Author shall compensate the Publishing House for any damages (regardless of their legal nature) arising should third party complaints and/or claims, including copyright ones in relation to the content of the Works, within 3 (Three) banking days after receiving the relevant request from the Publishing House.
5.4. The parties agree that the responsibility of the Publishing House from legal relations with the Author, which may arise from the contract concluded between the Author and the Publishing House for the alienation of the exclusive rights in accordance with the terms of this Policy, is in any case limited to 10,000 (ten thousand) rubles.
5.5. Validity, interpretation and performance of the Agreement are subject to Russian law.
5.6. Invalidation of any of the provisions of this Agreement does not entail invalidation of other provisions and the whole Agreement.
5.7. The parties agree to comply with the obligatory complaint procedure in relation to any requirements of the Author(s) related to the conclusion and implementation of the Agreement. The Author's complaint must be motivated, written and signed by the Author him- or herself. Complaints shall be sent to the Publishing House to the address: claim@panor.ru. The response period to the Author's complaint is 60 (sixty) working days; the response to the Author's complaint may be sent to him or her by e-mail using the address given by the Author in the offer (and/or in the complaint). If after 60 (sixty) working days, from the moment the Publishing House receives the Author's complaint, the dispute is not resolved, the parties have the right to turn to the competent court in the place where the Publishing House is located.
5.8. All notices and messages for the Publishing House should be sent by the Author in written form to the address specified in Clause 5.6 of the Policy.
5.9. This Policy shall enter into force on December 7, 2018, and shall apply in respect of the Works received by the Publishing House from the Authors in accordance with the terms of the Policy not earlier than on December 7, 2018.
